1. Introduction

Welcome to Avyra, an interactive streaming platform operated by DreTech, LLC ("Avyra," "we," "us," or "our"). Avyra enables viewers on platforms such as Twitch, YouTube, and Kick to trigger real-time actions on a creator's gaming PC through monetary contributions.

These Terms of Service ("Terms") govern your access to and use of the Avyra platform, including our website, desktop applications, APIs, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

2. Acceptance of Terms

By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Avyra.

If you do not agree to these Terms, you must not access or use our Services. Your continued use of the Services following any changes to these Terms constitutes acceptance of those changes.

Our Privacy Policy is incorporated by reference into these Terms and explains how we collect, use, and disclose information about you.

3. Overview of Services

Avyra provides an interactive streaming platform consisting of the Avyra Studio desktop application for Windows, a web platform for account management and creator profiles, an action triggering system that enables viewers to trigger real-time actions on a creator's PC through contributions, Cores virtual currency for purchasing actions, and integrations with Twitch, YouTube, Kick, and Tiltify. Creators can monetize their content through viewer contributions, while viewers engage with their favorite creators in unique and interactive ways.

4. User Requirements

To use Avyra Services, you must be at least 13 years of age. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you must have your parent or legal guardian's permission to use the Services.

Users in the European Union must be at least 16 years of age to use our Services, or have parental consent if between 13 and 16 years old.

You represent and warrant that you have the legal capacity to enter into these Terms and that all information you provide to us is accurate, current, and complete.

5. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Services if you have been previously banned or suspended from Avyra;
• Using the Services for any illegal purpose or in violation of any local, state, national, or international law;
• Violating or encouraging others to violate the rights of third parties, including intellectual property rights;
• Posting, uploading, or distributing content that is unlawful, defamatory, libelous, inaccurate, or harmful;
• Accessing or using the Services from jurisdictions where such use is illegal or prohibited;
• Attempting to interfere with, compromise, or disrupt the integrity or security of the Services;
• Engaging in any form of harassment, abuse, or hateful conduct toward other users;
• Creating accounts through automated means or under false pretenses;
• Selling, transferring, or sublicensing your account to another person;
• Reverse engineering, decompiling, or disassembling any portion of the Services.

Violation of these prohibited activities may result in immediate termination of your account and legal action.

6. Account Termination

You may cancel your Avyra account at any time by contacting support@avyra.live . Upon cancellation, you will lose access to your account, including any unused Cores and subscription benefits.

Avyra reserves the right to suspend or terminate your account at any time, with or without notice, for violations of these Terms, fraudulent activity, chargebacks, or any other reason at our sole discretion.

In the event of account termination for violations of these Terms, you will not be eligible for refunds of any Cores, subscriptions, or other purchases.

If your account is terminated by Avyra for reasons other than Terms violations (such as service discontinuation), you may be eligible for a pro-rata refund of any active subscriptions. Unused Cores are non-refundable in all cases.

7. Avyra Services

Avyra provides digital products and services that are licensed, not sold, to you. This license grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services in accordance with these Terms.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including features, availability, pricing, and technical specifications. We will provide reasonable notice of material changes when possible.

Avyra does not guarantee that the Services will be uninterrupted, error-free, or completely secure. We may perform scheduled and emergency maintenance that temporarily affects service availability.

You acknowledge that software updates, patches, and new versions may be required to continue using the Services, and you agree to promptly install such updates.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AVYRA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.

15. Cores Virtual Currency

Cores are Avyra's virtual currency used by viewers to trigger actions on creator streams. Cores can be purchased through the Avyra platform using supported payment methods.

Cores are non-refundable. Once purchased, Cores cannot be refunded, exchanged for cash, or transferred to other users, except as required by law or at Avyra's sole discretion in cases of technical errors.

Cores have no cash value and do not constitute property or currency. They are a limited license to access certain features of the Services. Unused Cores will remain in your account but may expire if your account is inactive for more than 365 days.

Avyra reserves the right to modify Core pricing, functionality, or availability at any time. We may also grant promotional Cores that are subject to additional terms and expiration dates.

Any attempt to obtain Cores through fraudulent means, including unauthorized credit card use or chargebacks, will result in immediate account termination and potential legal action.

27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVYRA'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) FIFTY DOLLARS ($50.00) OR (B) THE AMOUNT YOU PAID TO AVYRA IN THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT WILL AVYRA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
